**Memorandum of Agreement**

**This Memorandum of Agreement is entered into on this 22 nd day of August, 2023, by and
between:

**Party A: Banate National High School **

**Party B: Banate National High School Faculty and Staff Association Inc.
Address: Bularan, Banate, Iloilo
Represented by: Annie E. Bachoco, President of Banate NHS Faculty and Staff Association Inc.

**Whereas,** Party A represents the Banate National High School and Party B the Banate
National High School Faculty and Staff Association is desirous of establishing a school canteen
on the premises of Banate National High School (hereinafter referred to as “School”);

**Whereas,** Party B, being a recognized association of the School’s faculty and staff, has
expressed willingness to manage and operate the proposed school canteen;

**Now, therefore,** in consideration of the mutual promises and covenants contained herein,
the Parties hereby agree as follows:

**1. Establishment of School Canteen:** Party B shall establish and operate a school canteen
on the premises of Banate National High School, Bularan, Banate, Iloilo. The canteen shall
provide food, beverages, school supplies to the students, faculty, and staff.

**2. Management and Operation:** Party B, represented by its officers, shall manage and
operate the school canteen. Party B shall ensure the provision of quality, hygienic, and
nutritious food items. Party B shall be responsible for maintaining cleanliness, managing
inventory, and staffing the canteen during operational hours. Party B shall hire a trustworthy
operator who will managed and operate the said school canteen under the supervision of the
officers of the said association.

**3. Canteen Location:** The school canteen shall be established at the back of the school
Grandstand, ensuring easy access for students, faculty and staff.

**4. Operational Hours:** The school canteen shall operate during the School’s regular
operational hours. Any variations or changes in the operational hours shall be mutually agreed
upon by both Parties and shall be communicated to the School administration.

**5. Financial Arrangements:** Party B together with its members shall be responsible for the
initial investment required to set up the canteen, including equipment, furnishings, and initial
inventory. All operational costs, including salaries of canteen staff, utilities, and replenishment
of inventory, shall be the responsibility of Party B. A membership fee of P200.00 shall be
collected from all the teachers and staff of Banate National High School. A minimum of P100.00
and a maximum of P1, 000.00 will be the share caps of every member depending on how much
will they invest.

**6. Revenue Sharing:** The revenue generated from the school canteen operations shall be
shared between the members of the said association quarterly or every four months. 10% of
the revenue shall go to the fund with which will help teachers on the contributions such as t-
shirts, financial for the deceased family members, Christmas parties, etc.

**7. Attendance of Faculty and Staff:** Party A acknowledges that the management of the
school canteen may require the presence of the officers of Banate National High School Faculty
and Staff Association during certain hours. Party A shall coordinate with the School
administration to ensure that the attendance and involvement of its members in canteen
operations do not negatively impact their primary duties as educators.

**8. Duration:** This Agreement shall remain in effect for a period of __ years from the date of
signing, unless terminated earlier by mutual agreement of both Parties or due to breach of the
terms herein.

**9. Termination:** Either Party may terminate this Agreement with a written notice of __ days
to the other Party. Termination shall not affect the completion of any ongoing obligations or the
Parties’ rights and liabilities that have accrued until the date of termination.

**10. Governing Law:** This Agreement shall be governed by and construed in accordance
with the laws of the Philippines.

**11. Entire Agreement:** This Agreement constitutes the entire understanding between the
Parties and supersedes all prior agreements, whether written or oral, relating to the subject
matter herein.

**In witness whereof,** the Parties hereto have executed this Agreement on the day and year
first above written.
