I/We certify that the information given above is true and correct. By signing this Referral Accreditation Form, I hereby agree to the Terms and Conditions printed on
the reverse side of this form which shall govern the referral of Accounts to the Bank of the Philippine Islands (the “Bank”).By submitting this form, I/we are allowing
the Bank to collect, use and store my/our personal data in connection with my/our accreditation as Referrer. Through my/our expressed consent as provided herein,
I/we acknowledge and agree that my/our data may be shared with various units within the Bank. In compliance with the Data Privacy Act (RA 10173), we understand
that the Bank will keep my/our personal data private and confidential. To know more about how the Bank processes and protects my/our data, I/we can refer to BPI's
Privacy Statement at https://www.bpi.com.ph/privacy. I/We agree that execution of this Referral Accreditation Form may be done electronically via an electronic
platform acceptable to the Bank.

If executed electronically, I/we agree that my(our) electronic signature has the same legal effect, validity and enforceability as a manually executed signature and
shall be binding upon me/us. Delivery of this Referral Accreditation Form via electronic signature system shall have the same force and effect as delivery of an original
manually executed hard copy.

TERMS & CONDITIONS - FOR ACCOUNT REFERRALS
By signing the Referral Accreditation Form, the Referrer hereby agrees to these Terms and Conditions which shall govern the referral of Accounts to the Bank and shall constitute the
agreement between the Bank and the Referrer.
1. DEFINITION OF TERMS. The following terms shall be defined as follows:
Accounts shall mean applications for availment of Bank’s loan products, such as but not limited to, housing loan, SME loan, Business/Commercial Loan and auto loan and such other loan
products that may be approved by the Bank to be part of the Bank’s Referral Program.
Applicant shall mean the person applying for the Accounts.
Bank shall mean Bank of the Philippine Islands and its respective branches.
Bank’s Referral Program shall mean the incentives program for accredited loan referrers as provided under these Terms and Conditions.
BPI Group of Companies shall refer to the Bank and its subsidiaries and affiliates, such as but not limited to, BPI Capital Corporation, BPI Direct Banko, Inc. A Savings Bank, BPI
Century Tokyo Lease & Finance Corp., BPI Century Tokyo Rental Corp., BPI Asset Management and Trust Corporation, BPI/MS Insurance Corporation, BPI Securities Corporation, BPI
Card Finance Corporation, and BPI Agricultural Development Bank, and “member of the BPI Group of Companies” means any one of them.
Referrer shall mean any "person or entity" who has been duly accredited by the Bank to refer Accounts to the Bank.
Referral Services shall have the meaning set forth in Section 2 (Scope of Referral Services).

2. SCOPE OF REFERRAL SERVICES. Referrer agrees to refer Accounts to the Bank in accordance with the requirements set forth in these Terms and Conditions. Referrer undertakes to assist the
Applicant to complete and submit to the Bank information and documents required in connection with the Accounts and ensure accuracy of all the information provided to Bank in connection with
the Accounts, including details contained in the application forms.
The duties and responsibilities of a Referrer shall include the following:
a. For its/her/his own account, the Referrer, at such hours and day it/she/he deem appropriate, market the Bank’s loan products. The Referrer is free to determine using its/her/his own judgement
and discretion, the place, time, of method of solicitation.
b. The Referrer shall, as requested by the Bank, attend briefings that may be conducted by the Bank or other persons to familiarize the Referrer with the Bank’s loan products as well as pertinent
information and requirements relative thereto.
c. The Referrer may ask for free copies of brochures and other promotional materials. However, regular solicitation aids, transportation and other expenses shall be for the Referrer’s sole account.
d. The Referrer shall refer to the Bank only qualified/eligible individuals/entities based on the Bank’s credit parameters.
e. The Referrer shall refund to the Bank incentive received for Accounts solicited in violation of these Terms and Conditions.
f. (for individual Referrer) The Referrer shall inform the Bank of any change to his/her personal circumstance rendering him/her related to any director, officer, stakeholder of any member of the
BPI Group of Companies up to the 1st degree of affinity.

3.REFERRAL INCENTIVE. Referrer will be entitled to incentive for referred Accounts which are successfully booked by the Bank. The applicable incentive may vary depending on the current year’s
Bank’s Referral Program. For purposes of determining applicable program for a particular referral, the program effective as of the date of booking of the loan shall be used as reference. The Bank
shall deduct from the fee payments to the Referrer any tax required to be withheld and remitted by the Bank to the relevant taxing authority. Referrer hereby authorizes and instructs the Bank to
credit and/or cause the crediting of the incentive to his nominated settlement account herein provided. Upon payment, the Referrer shall provide the Bank an official receipt. The records of the
Bank as to the amount of the applicable incentive due to Referrer shall be conclusive on the Referrer in the absence of manifest error in computation.
4. BROCHURES AND PROMOTIONAL MATERIALS. Bank may provide Referrer copies of brochures and promotional materials. Bank may also request Referrer to attend briefings, trainings and
seminars to familiarize it/him with Bank’s loan products and requirements. Regular solicitation aids, transportation and other similar expenses shall be for the sole account of the Referrer.
5. REFERRAL REQUIREMENTS. Referrer shall ensure that Applicants meet the Bank’s standard credit parameters which the Bank may disclose to the Referrer from time to time. For avoidance of
doubt, the Bank shall retain and shall not delegate the underwriting, evaluation of the Accounts and approval of loans or credit facility. Any Account received by the Bank shall be reviewed and
evaluated against the Bank’s credit parameters and in accordance with applicable bank policies
6. APPROVAL OF LOANS. Approval or disapproval of Accounts shall be the sole prerogative of Bank. Consequently, Referrer is not authorized to and shall not make any representation or warranty
on matters respecting loan approval and/or the timing of approval.
7. RESTRICTIVE COVENANTS. Referrer is not authorized and shall not:
a. Hold itself/herself/himself to the public as Bank employee, agent, joint venture or partner.
b. Receive or collect any money, in cash or check, from any Accounts.
c. Make any representations or warranties in respect of interest rates, terms, amounts and period of loan, loan approval of similar matters, unless authorized by the Bank in writing.
d. Bind the Bank with any promise or representation unless specifically authorized in writing by the Bank in a particular transaction.
e. Refer and/or solicit accounts or loan applications already processed/ handled by any of the Bank’s branch or account officer, or solicit for loan referrals or accept loan referrals from any officer or
employee of the Bank or other members of the BPI Group of Companies.
f. Share incentive with any other officer or employee of the BPI Group of Companies. Enter into activities or engage in any work or job that directly or indirectly compete with the Bank’s loan
product business.
g. Make any representation or warranty on matters respecting loan approval.
h. Act as Attorney-in-Fact or loan administrator for any of its/his/her referred Account/s.
i. Disclose to any third person or use to its/her/his benefit any confidential information acquired by it/him/her, in the course of or in connection with the performance of its/her/his undertaking
under these Terms and Conditions and even after the expiry or termination of the Referral Services. This covenant shall survive termination of Referrer’s accreditation or termination of the Referral
Services.
8. REPRESENTATION and WARRANTY. Referrer represents and warrants to Bank the following:
a. (if Referrer is a corporation/partnership) It is a corporation/partnership duly organized and validly existing under the laws of the Philippines;
b. He/she/it has sufficient capital, equipment, tools and other materials that may be needed to perform the Referral Services;
c. He/she/it has the required knowledge, experience, professional competence, and resources to undertake the Referral Services;
d. He/she/it shall at all times carry out its obligations under these Terms and Conditions in compliance with all applicable laws;
e. He/she/it shall continue to secure/renew/maintain all licenses, registrations, approvals and permits necessary to comply with: (a) his/her/its obligations under these Terms and Conditions (including the
performance of the Referral Services), and (b) the requirements of governmental authorities and applicable laws and regulations;
f. He/she/it shall submit any and all information and documents which the Bank may reasonably require from time to time (including, but not limited to, the accreditation requirements); and,
g. Prior to submitting information including personal data of Applicant, he/it has obtained and received the Applicant’s consent, approval, and authority to share and disclose to Bank all such information
provided by Applicant in application forms and any and all documents submitted in connection with his/its application.
9. REMEDIES. Should the Referrer violate any of these Terms and Conditions, or should any representation, covenant or warranty herein be untrue, incorrect, violated or not complied with, in a
material respect, whether caused by the act or the fault of the Referrer or others, the following are the remedies of the Bank:
a. For violation of any of the restrictions under Section 7 (Restrictive Covenants), the Bank may, at its sole discretion:
i. Terminate the Referral Services effective immediately;
ii. Cancel all incentives that may be due to Referrer for Accounts approved, and Referrer agrees that any such cancellation shall not result in any liability on the part of the Bank; and/or
iii. Clawback or seek a refund of all incentives paid to the Referrer. Upon demand by the Bank the Referrer undertakes to promptly refund to the Bank all incentives received by it/her/him for
Accounts which were solicited in violation of the aforestated restriction.
b. For violation of any of the representations and warranties under Section 8 (Representation and Warranties), the Bank may, at its sole discretion, terminate the Referral Services effective
immediately.
c. In any and all instances, the Referrer shall:
i. Upon demand by Bank, promptly and fully indemnify Bank for all damages caused by such breach, violation or non-compliance. This is without prejudice to Bank’s entitlement to specific
performance and injunctive and other equitable relief as a remedy for any violation of these Terms and Conditions in addition to all monetary or other remedies available at law or in equity.
ii.In case of fraud, illegality or unauthorized act involving the Referrer in any Accounts, whether he/she/it acted singly or in collusion with another, Bank has the right to: (a) initiate any legal
proceedings or otherwise take any legal action, whether civil or criminal, against the Referrer; (b) proceed against any property or assets of Referrer up to the extent of the losses, damages and
fees incurred by Bank; and (c) offset from whatever monies/ funds deposited in BPI, or BPI Direct Banko, or any member of the BPI Group of Companies, up to the extent of the losses, damages
and fees incurred by Bank. The foregoing is without prejudice to Bank’s other rights and remedies provided under these Terms and Conditions and the relevant laws.
iii. Upon demand by Bank, promptly and fully indemnify Bank for any loss or damage suffered by the Bank arising from or in connection with any fraudulent, dishonest, or negligent act by the
Referrer or any of his/her/its employees or agents in the performance of the Referral Services.
For the avoidance of doubt, in the event the provision of the Referral Services is terminated by the Bank, Referrer’s accreditation with the Bank as a referrer of Accounts is automatically revoked or
cancelled.
This Section 9(c) shall survive the termination of the Referral Services of the Referrer.
10. NO EMPLOYER-EMPLOYEE RELATIONSHIP. Referrer acknowledges that it/ he is an independent contractor and is neither an employee, agent, joint venture or partner of Bank and confirms
that under no circumstances whatsoever shall the performance of its/her/his solicitation/referral activities be construed as constituting an employer-employee relationship. As an independent
consultant/ contractor, Referrer agrees to:
a. Maintain an identity separate from Bank.
b. Refrain from using any of Bank’s tradename and trademarks for its/her/his solicitation, communications and presentation materials, unless authorized by Bank.
c. Maintain its/her/his own office at its/her/his sole expense.
d. Pay all relevant taxes in relation to his/her/its business at his/her/its sole expense.
e. Hold Bank, its directors, officers, employees and representatives, free and harmless from any and all claims, which may be made against Bank, its directors, officers, employees and
representatives, by Referrer or its/her/his employees on the theory that Bank is the employer or in connection with the performance of any of their functions herein.
f. Hold Bank, its directors, officers, employees and representatives, free and harmless from any and all claims, which may be made against Bank, its directors, officers, employees and
representatives, arising from any bodily injury to and/or damage to the properties of any Applicant or third parties caused by the fault or negligence of the Referrer or his/her/its employees or
agents in performing their designated duties
Referrer agrees and understands that Bank shall have no obligation to extend to him/her or to its/her/his employees/agents any employment, and that he/she or its/her/his employees/agents
shall have no right to claim from the Bank separation pay, compensation or any other benefits in connection with the performance of the Referral Services. Except as otherwise provided in these
Terms and Conditions, in case of approval of Accounts, the Referrer understands and agrees that it/he/she is only entitled to incentives that are accrued and/or already due it/her/him for booked
Accounts.
11. CONFIDENTIAL INFORMATION. Nothing herein shall require Bank to disclose Confidential Information to Referrer in relation to the Bank’s loan products or clients. In the event of disclosure of
Confidential Information, Referrer hereby agrees to procure its employees, its agents and authorized representatives (collectively referred to as “Recipients”) to preserve and maintain confidential
all Confidential Information, to use the Confidential Information only in the performance of the Referral Services in accordance with these Terms and Conditions, and to segregate the Confidential
Information from those of Referrer and its other clients.
a. Referrer hereby agrees to procure the Recipients to abide by Bank’s rules and regulations relating to confidentiality.

b. Where any of the Confidential Information is required to be kept at the offices of Referrer, Referrer undertakes to ensure that the Confidential Information will be kept under strict security when
not in actual use by Referrer in connection with the Referral Services.
c. Referrer hereby undertakes that it will not, and shall ensure that the Recipients shall not, at any time, divulge any Confidential Information to any person.
d. All documents and records furnished by Bank to Referrer and, when applicable, all software and any other records of Confidential Information shall, upon Bank’s request or upon the completion or
termination of the Referral Services, be immediately returned to Bank or, if Bank so instructs, be destroyed. No copy thereof shall be made or retained by Referrer.
e. Except to the extent such information is public knowledge or becomes public knowledge other than by breach of the obligations under this Section, “Confidential Information” shall mean, for the
purpose of this Section –
i. Personal information of Applicant referred to Bank by Referrer, whether approved or otherwise.
ii. Information in relation to Bank, or any of its affairs or business or systems or methods of carrying on business including without limitation information relating to customers, products, services,
methods, systems, business plans, costs, sales, marketing methods, strategies or technical operations.
iii. Information from time to time in the possession or custody of Bank belonging to its customers or other users of services from time to time provided by Bank, including without limitation the
names of customers and the nature of their accounts.
iv. Information that is confidential or secret or proprietary to Bank or which otherwise gives Bank an advantage over its competitors.
v. Information imparted in confidence to Referrer otherwise designated as confidential or secret by Bank.
vi. Trade secrets.
vii. Any other information classifiable in equity as Confidential Information.
f. Bank provides Confidential Information without warranties of any kind and will not be liable for any damages arising out of the use of said Confidential Information. Neither these Terms and
Conditions nor any disclosure of Confidential Information hereunder grants Referrer any right or license under any trademark, copyright or patent or other intellectual property now or hereafter
owned or controlled by Bank. Nothing contained herein shall be construed as granting or implying any transfer of rights or ownership to Referrer of the Confidential Information, or any patents or
other intellectual property pertaining or relating to the Confidential Information.
g. If Referrer, or any of Referrer’s directors, officers, employees or agents, is requested or required by any court of competent jurisdiction, any competent judicial, governmental or regulatory body or
pursuant to any relevant law or regulation, to disclose any Confidential Information, Referrer shall immediately notify Bank of such request or requirement and shall not disclose (and procure that
Referrer’s directors, officers, employees, and agents shall not disclose) such Confidential Information until Bank has had an opportunity to either seek a protective order or to otherwise seek to
protect the Confidential Information.
h. Without limiting the generality of the foregoing, Referrer hereby acknowledges that it is aware of and understands the effect of, and agrees and undertakes to, procure all Recipients (as defined
above) to observe bank secrecy/confidentiality and data privacy laws, including but not limited to the provisions of Republic Act (R.A.) No. 1405, R.A. No. 6426, Section 55 of the General Banking Law
of 2000 and the requirements of Data Privacy Act under Republic Act No. 10173), its amendments and such other laws as may be promulgated in the future (collectively, the “Bank Secrecy and
Privacy Laws”), in connection with the performance of the Referral Services, and further agrees and undertakes that it will not, and covenants that Recipients will not do anything which will cause
Bank or any of its customers or any member of the BPI Group of Companies to violate any provision of the Bank Secrecy and Privacy Laws or otherwise be guilty of an offense thereunder. Without
prejudice to Section 9 (Remedies) hereof, Referrer expressly agrees that it shall be solidarily liable with Bank should the disclosure of Confidential Information by Referrer or by Referrer’s employees,
agents and authorized representatives, result to a violation by Bank of the Bank Secrecy and Privacy Laws.
i. Referrer acknowledges that the Confidential Information will not be deemed to be public knowledge solely by virtue of the fact that it is embraced by more general information which may have
become public knowledge.
j. Referrer acknowledges that the value of the Confidential Information of Bank and the undertaking of Referrer contained in this Section is such that an award of damages or an account of profits
may not adequately compensate Bank in the event of a breach of this undertaking by Referrer. Referrer acknowledges that, without in any way compromising Bank’s right to seek damages or any
other form of relief in the event of a breach of this Section, Bank may seek and obtain an ex-parte interlocutory or final injunction to prohibit or restrain Referrer or Referrer’s employees, agents and
authorized representatives from any breach or threatened breach of this Section.
k. This Section on confidentiality shall survive the termination of Referral Services.

12. CONSENT TO PROCESS PERSONAL DATA


a. Referrer acknowledges and agrees that the BPI Group of Companies and their respective authorized representatives, agents, and outsourced service providers, under an obligation of
confidentiality, may process, obtain, collect, record, organize, store, update, modify, use, access, share and/or disclose updated information ( including personal data ) relating to the Applicant and
Referrer and their respective organization, business relationships, accounts and/or transactions, provided by the Applicant and/or Referrer, made available to or in the possession of Bank, or in the
possession of any of the BPI Group of Companies (collectively, the “Information”), in connection with any or all of the following purposes: (i) to implement these Terms and conditions, (ii) to process
the referred Accounts, (iii) to comply with legal, regulatory, audit, operational, credit or other risk management processes, policies and procedures of the Bank, and (iv) to comply with the
requirements of applicable laws, the Bangko Sentral ng Pilipinas (BSP) rules and regulations, including but not limited to those relating to the prevention of anti-money laundering pursuant to the
provisions of Republic Act No. 9160 (Anti-Money Laundering Act of 2001), as amended (“AMLA”).
b. The Referrer shall make sure that the Applicant is made aware of and consent to the processing of its/his/her information and data as provided in Section 12(a) above.
c. For purposes of this Section, “personal data” means information or data whether recorded in a material form or not, from which the identity of an individual is apparent or can be reasonably and
directly ascertained by the entity holding the information, or when put together with other information would directly and certainly identify an individual, and shall include the terms “personal
information”, “sensitive personal information” and “privileged information” as these terms are defined under Republic Act No. 10173 and its implementing rules.
13. NOTICES. Any communications, requests and notices (“notices”) required or permitted to be given pursuant to these Terms and Conditions shall be in writing and shall be deemed to have been
properly given when: (i) personally delivered, or sent by courier service or registered mail (postage prepaid) to the other party’s last reported mailing address, or (ii) sent by email or facsimile to the
email address or facsimile number last given by a party. The date of receipt of any notice shall be deemed to be: (i) the date of its receipt, if delivered personally or sent by courier service; (ii) the date
ten (10) days after posting, if sent by registered mail; (iii) the date the email was sent by the party giving notice (provided no delivery failure notification or error is received by the sender), if sent by
email; or (iv) when successfully transmitted in legible form during business hours, if sent by facsimile. In addition, the Bank may also send any communication or notice to the Referrer through any of
the following means: short messaging service (SMS) or such other means (electronic or otherwise) which the Bank, at its option, considers appropriate and effective.

The Bank is entitled to rely on the information provided by the Referrer in the Referrer Accreditation Form (as the same may be updated from time to time) for the address and other contact details
of the Referrer. Notwithstanding the above, any notice to be made or delivered to the Bank will be effective only when actually received by the Bank, and, if it is required to be expressly marked for
the attention of the department or officer identified by the Bank, when it is so marked. The Bank’s address is set down below:

A party may change its address upon prior written notice received by other party.
14. TERMINATION OF REFERRAL SERVICES. Referrer hereby authorizes the Bank to unilaterally terminate the Referral Services, with or without cause, upon a fifteen- (15) day prior written notice to
the Referrer. The provision of Referral Services shall also terminate effective immediately, without need of notice, in the event Referrer’s accreditation with the Bank is terminated or not renewed for
whatever reason.
15. EFFECTS OF TERMINATION OF REFERRAL SERVICES. In the event of termination of the Referral Services for whatever reason, Referrer shall:
a. No longer be allowed to refer Accounts to the Bank pursuant to these Terms and Conditions.
b. Return to Bank all materials pertaining to Bank’s loan products program, including but not limited to brochures and promotional materials.
c. Return all documents, materials and records containing the Bank’s Confidential Information, or, if the Bank so instructs, destroy the same.
d. Refrain thereafter from using, for any purpose, any such material which bears Bank’s name and/or trademarks.
Termination of the Referral Services does not affect any rights and remedies that have accrued to the parties prior to the date of termination, unless otherwise provided in these Terms and
Conditions.
16. GENERAL PROVISIONS
a. Severability. If any term or provision of these Terms and Conditions should be declared invalid by a court of competent jurisdiction, the remaining terms and provisions of
these Terms and Conditions shall remain unimpaired and in full force and effect.
b. Cumulative Remedies/Non-Waiver. All remedies under these Terms and Conditions, those provided by law or equity, are intended to be cumulative. No failure or delay by the
Bank in exercising any right or remedy under these Terms and Conditions, by law, equity or otherwise, will operate as a waiver of that right or remedy.
c. Assignment. Referrer shall not assign or transfer any of his/her/its rights and/or obligations under these Terms and Conditions or any part thereof without the prior written
consent and approval of Bank.
d. Amendment/Modification. No modification, waiver or amendment of these Terms and Conditions shall be effective unless and until it shall be reduced in writing and signed by
Bank and Referrer or their legal representatives.
e. Venue. Any legal action arising from these Terms and Conditions shall be filed exclusively before the appropriate courts of Makati City.
f. Governing Law. These Terms and Conditions shall be governed by and construed in accordance with the laws of the Republic of the Philippines.
