Cumulus Media Networks was an Americanradio network owned and operated by Cumulus Media. From 2011 until its merger with Westwood One, it controlled many of the radio assets formerly belonging to the American Broadcasting Company (ABC), which was broken up in 2007; Cumulus owned the portion of the network that was purchased by Citadel Broadcasting that year. The network adopted its final name in September 2011, following Cumulus's acquisition of Citadel; prior to this, it had been known as Citadel Media Networks since April 2009, after licensing the "ABC Radio Networks" name from The Walt Disney Company for nearly two years. ABC now operates a revived ABC Radio Network that owns no stations but produces (mostly short-form) audio content.
It was also (as ABC Radio Networks) the penultimate of the major radio networks to still be owned by its original founding company until 2007, CBS Radio being the last. Mutual Broadcasting Network was dissolved in 1999 and then NBC Radio Network, after selling all of its stations in 1988, followed suit in 2004.
Cumulus Media, Inc. (and its subsidiaries, Cumulus Broadcasting LLC, Cumulus Licensing LLC and Broadcast Software International Inc ) is an American broadcasting company and is the second largest owner and operator of AM and FM radio stations in the United States, behind iHeartMedia, Inc. (formerly Clear Channel Communications), operating 460 stations in 90 markets as of February 27, 2014 as compared to 570 stations in 150 markets as of September 16, 2011. The company also owns Westwood One. Cumulus's headquarters are located in Atlanta, Georgia.
Cumulus' original business plan focused exclusively on owning radio stations located in medium-sized media markets, and Cumulus Media only owns terrestrial radio stations in the United States; rival iHeartMedia, Inc. owns radio stations outside the United States and operates a subsidiary, Clear Channel Outdoor.

Cumulus Media Signs Exclusive Possible Merger with Citadel Broadcasting
Cumulus Media (CMLS) confirmed it has entered into an exclusive agreement to negotiate a merger agreement with Citadel Broadcasting, operator of the Citadel Media business, under which CMLS would acquire all of the outstanding common stock and warrants of Citadel at a price of $37.00 per share.
Under the terms of CMLS' proposal, the payment received by Citadel shareholders would be a combination of cash and CMLS stock for each Citadel share and warrant, with a fixed exchange ratio. The $37.00 per share consideration would, on average, be capped at a maximum of $30.00 per share in cash and a maximum of $14.00 per share in CMLS stock, based upon the proposed cash and stock election formula.
