Updated July 21, 2024
These NBCUniversal Supplemental Terms of Service for CNBC Councils (“Supplemental Terms”) apply to your application for and membership in CNBC Councils (the “Councils Membership”) and the use of any CNBC Councils services, programming or other offerings (the “Councils Services”).
BY APPLYING FOR ANY COUNCILS MEMBERSHIP OR USING THE COUNCILS SERVICES, YOU ACCEPT AND AGREE TO BE BOUND AND ABIDE BY THESE SUPPLEMENTAL TERMS.
Capitalized terms not defined below will have the meanings given to such terms in the NBCU ToS. We may modify the Supplemental Terms and encourage you to check back here from time to time for any modifications we may make to these Supplemental Terms.
1. Membership
1.1. Membership. Membership in CNBC Councils is by invitation only and subject to our discretion. Applying for a Councils Membership does not guarantee admission.
1.2. Corporate Membership. Applying for corporate Councils Membership does not guarantee admission. Each company that is approved for and joins the membership (“Corporate Member”) may designate one executive (subject to our approval) as its representative. If the designated executive departs the Corporate Member company, the Corporate Member retains the Corporate Membership and may designate the departing executive’s successor as its representative, subject to our approval.
If you are a Corporate Member, you understand and agree that we may share your representative’s personal information (e.g. name, likeness, contact information, corporate name and logo) to other CNBC Councils members, including without limitation, via access to the membership portal received as a benefit of membership. Corporate Member and/or its representative may request removal of such information by emailing us at [email protected].
1.3. Revocation. We reserve the right to revoke or suspend any Councils Membership in our sole discretion and/or modify the composition of the CNBC Councils at any time without prior notice.
1.4. Privacy. You understand and agree that we may share your personal information (e.g., name, likeness, contact information) with other CNBC Councils members, including, but not limited to, via access to CNBC Councils membership portal. Our Privacy Policy explains how we collect, store, process and use your data, including your Payment Method (as defined below) information, and you acknowledge and agree that your Councils Membership and use of the Councils Services is subject to the terms and conditions of our Privacy Policy.
2. Use of Councils Services
2.1. License. We grant you a limited, non-sublicensable, non-exclusive, non-transferable license to access and use the Councils Services only in accordance with these Supplemental Terms.
2.2. Use Restrictions. You may not scrape, repackage, reproduce, republish, recirculate, offer for sale, sell, create derivative works from, integrate into other products or services, or otherwise share with others for profit or commercial gain, the Councils Services or any other data or results from the Councils Services. You may not use the Councils Membership or the Councils Services to create, offer, or promote any competitive services.
2.3 Corporate Councils Membership Trademark License. If you are a Corporate Member, you hereby grant to us and each of our respective licensees, franchisees, service providers and agencies, a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use and incorporate Corporate Member’s name and logo (“Corporate Marks”) on the Councils Services and to exhibit, distribute and otherwise exploit such Corporate Marks, in any and all media now known or hereafter devised throughout the universe in perpetuity in connection with CNBC Councils. All rights in and to the Corporate Marks not expressly granted herein are reserved by Corporate Member, including without limitation, ownership of the Corporate Marks. You hereby warrant and represent that Corporate Member is the sole owner or holder (or the authorized representative of the sole owner or holder) of the rights granted herein, that it is authorized to enter into and accept these Supplemental Terms, that the consent of no other person or entity is required to enable us to use the Marks as described herein, and that such use will not violate the rights of any third parties.
3. Modification, Suspension and Cancellation of Councils and/or Councils Services
3.1. Cancellation. We reserve the right to discontinue any of the CNBC Councils or Councils Services at any time. In such an event, we will provide you with a prorated refund of any prepaid Fees (as defined below) based on the remaining time of your membership period. We also reserve the right to suspend or terminate your Councils Membership account in our sole discretion without prior notice and without any obligation to provide a refund of prepaid fees.
3.2. Modification. We reserve the right in our sole discretion without prior notice, to make changes to the Councils Services, including any cancellation of services. The availability of the Councils Services offered at the time you become a member may not reflect the Councils Services that will be offered throughout your membership.
4. CNBC Councils Membership Offerings, Programming and Events
4.1. Events. The CNBC Councils programming includes opportunities to attend and participate in virtual and in-person events which may be organized by CNBC Councils or another NBCUniversal entity.
Attendance at and/or participation in any such event, whether virtual or in-person, is subject to any additional terms and conditions that may be made available to you upon registration for the event, including, but not limited to the CNBC Events Supplemental Terms of Service. Unless otherwise specified, all events are on the record for journalistic and editorial purposes. Unless stated otherwise, no video or still cameras are permitted inside event locations and video and audio recordings are strictly prohibited.
4.2. Community Guidelines. Your Councils Membership includes access to offerings including, but not limited to, a CNBC Councils member directory, member portal and private LinkedIn member group(s) (the “Membership Offerings”). All such Membership Offerings may contain confidential information, and such confidential information is intended to be accessed and used only by CNBC Councils members. Making any such offerings or information contained therein available to anyone outside of the CNBC Councils community, and any use of the Membership Offerings for sales pitches, solicitation or other commercial purposes, is strictly prohibited.
Your use of the Membership Offerings, including, but not limited, to any communications, messages, posts or discussions must not be defamatory, indecent, profane, discriminatory, harassing, threatening or otherwise abusive to any CNBC Councils members or any NBCUniversal affiliates.
5. Autorenewal and Billing
5.1. Fees and Autorenewal. We charge an annual membership fee to access the Councils Membership and Councils Services (“Fees”) although we may in our sole discretion provide limited access to the Councils Service or some of its content free of charge or at discounted price points from time to time. The Fees payable are made clear during the ordering process, and you can find the specific details regarding your membership at any time by logging in to your CNBC Councils account and viewing your membership details.
YOUR COUNCILS MEMBERSHIP INCLUDES ENROLLMENT INTO A RECURRING PAYMENT PLAN. UNLESS OTHERWISE STATED ON YOUR SIGN-UP PAGE AND SUBJECT TO APPLICABLE LAW, AFTER YOUR ORIGINAL MEMBERSHIP PERIOD EXPIRES, YOUR MEMBERSHIP WILL AUTOMATICALLY RENEW FOR ADDITIONAL PERIODS OF THE SAME LENGTH AS YOUR ORIGINAL MEMBERSHIP PERIOD AT THE THEN CURRENT FEES, UNLESS YOU CANCEL BEFORE THE RENEWAL, WE DECLINE TO RENEW YOUR MEMBERSHIP, OR THESE SUPPLEMENTAL TERMS ARE OTHERWISE PROPERLY TERMINATED.
We may change the amount of Fees payable from time to time. The modified Fees will take effect at the start of the next renewal period for your membership. We will provide advance notice of these changes by sending an e-mail to the e-mail address you have registered for your CNBC Councils account, and you will have the opportunity to cancel your membership prior to incurring the new charges. However, we will not be able to notify you of changes in any applicable taxes.
Councils Membership purchases have no monetary value (for example, they are not a cash account or equivalent) and are purchases of only a limited, non-exclusive, revocable, non-assignable, and non-transferable right to access and use the Councils Services in accordance with these Terms of Service. You may not transfer, sell, purchase, barter, or trade your membership or attempt or offer to do so. Any attempted transfer will be null and void.
5.2. Billing. By providing a credit card, debit card or other payment method (“Payment Method”) for your Councils Membership, you expressly agree that we, our affiliates or a third‑party payment processor is authorized to charge you the Fees (plus any applicable taxes) at the beginning of your membership and on a recurring basis upon each periodic renewal, unless and until you cancel your membership. The Fees are nonrefundable unless otherwise stated in these Supplemental Terms. YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL RIGHT TO USE THE PAYMENT METHOD YOU PROVIDE.
Your Payment Method will be billed on a regular basis during your Councils Membership, although the exact timing of when you are billed may vary. By way of example, if you enroll in a yearly membership on July 31, you will be billed on/near July 31 the following year). You may view your next recurring billing date by logging in to your CNBC Councils account and viewing your membership details.
If you want to use a Payment Method that is different from the one you used during registration, or if there is a change in your credit card validity or expiration date, you may edit your Payment Method information by logging in to your CNBC Councils account and updating your membership details. If your Payment Method expires and you do not update your Payment Method information or if we cannot charge your Payment Method for any reason and you have not cancelled your membership, you authorize us to continue billing that Payment Method, and you will remain responsible for any uncollected amounts. If a charge to your Payment Method is denied for any reason, we may, at our discretion, terminate disable, cancel or suspend access to your Councils Membership without further notice.
5.3. Privacy. Our Privacy Policy explains how we collect, store, process and use your data, including your Payment Method information, and you acknowledge and agree that your use of the Councils Services is subject to the terms and conditions of our Privacy Policy.
5.4. Cancelling Your Membership. If you purchased the Councils Membership and/or Councils Services through us, you may cancel your Councils Membership at any time by contacting the CNBC Councils customer service team at [INSERT CUSTOMER CARE EMAIL]. Your cancellation will be effective at the end of the applicable membership period during which you notify us of cancellation. If you cancel your membership, you will still have access to the Councils Services for the remainder of time you have already paid for, but you will not receive a refund. You will also forfeit any service or referral credits upon cancellation. If you cancel your membership during a free trial or other promotion, cancellation may become effective immediately. WE DO NOT PROVIDE REFUNDS OR CREDITS FOR ANY PARTIAL-PERIOD MEMBERSHIP PERIODS OR UNUSED SERVICES, EXCEPT AS STATED HEREIN OR OTHERWISE REQUIRED BY APPLICABLE LAW.
5.5. Free Trials and Promotions. We may offer free trials to Councils Services from time to time, enabling new members of the Councils Membership to subscribe to the Councils Services without paying a subscription fee during the relevant free promotional period (“Free Trial”). Availability of a Free Trial is not guaranteed and, if we offer you a Free Trial, the specific terms of your Free Trial will be provided to you during your sign-up, including how payment will be charged following the end of the Free Trial. You may cancel your subscription at any time before the end of your Free Trial. If you start a Free Trial and cancel before it ends, you cannot reactivate the Free Trial.
We may also offer, in our sole discretion, promotions subject to terms that will be provided to you in promotional materials or during your sign-up. We will begin billing your Payment Method at the then-current, non-promotional rate after your promotion ends unless you cancel your subscription prior to the end of your promotion.
5.6. Statutory Cancellation Right for EU and UK Residents Only. In certain circumstances, UK and EU consumers who enter into contracts online have a legal right to change their mind within 14 days (the “Statutory Cancellation Period”) and receive a refund. However, subscriptions to the Service either (a) start with a Free Trial which is longer than the Statutory Cancellation Period and such Free Trial can be cancelled before any payment is due (as described above in this Section 5.5), or (b) begin to be supplied on a paid basis during the Statutory Cancellation Period (e.g. after a 7-day Free Trial) but only following your express request for such supply to begin and your acknowledgement that – once that supply begins – the statutory cancellation right is lost (though your general right to cancel your subscription will still apply, as described in Section 5.4). To cancel and request a refund under the Statutory Cancellation Period please contact Customer Care.
