CONSULTANCY CONTRACT
(Home Based Tutors)
July 24, 2010 Name: Address: Dear ___________________: We are pleased to confirm your employment as On Line Tutor (Home Base) of ASIA PREMIER ONE SOURCE INC., under the following terms and conditions: Duration of Employment: Project: ______________________ Online Tutor (Home Base)

1. Your employment is for an existing project only and is thereby coterminous with the completion or termination of the
project. Your employment shall be terminated by any of the following: (a) the early completion of the project, task or undertaking, (b) dismissal for just and authorized causes, (c) the end of the duration of your employment as indicated above, or (d) other causes provided by law. In the event that your services are terminated by the Company, you will be entitled to collect only your wages up to the end of working hours of the last day of your actual service.

The company may terminate the employment of any employee, whether on casual, project, home base, probationary or regular status for poor and unsatisfactory performance and for causes provided by law. Your ability to meet performance expectations of the project and/or the function shall be the criteria for evaluation, and may very well be the basis of your continued employment with the company. Expectations will be monitored daily, weekly and/or monthly based on project/functional goals. Performance measurement may be any or all of the following: Productivity; Quality of Work; Attendance and Punctuality; Efficient Use of Time; Proficiency in the specific skills/knowledge required in your function; Work Ethic; Honesty; Attitude towards Work; and Attitude towards Clients.

3. You shall give your entire time and attention to the work assigned to you during the working hours, you also agree to
work beyond your scheduled working hours and/or rest days and during holidays when required by the exigencies of the Companys operations especially when such holidays fall within your normal work schedule.

4. You shall be given One hundred pesos ( Php 100.00) per hour of your service. Based on 30 hour / week schedule.
5. You agree and understand that all records, communications, memoranda, e-mail messages, documents of the Company and all information pertaining to its business, processes or affairs are confidential, restricted and classified information. No unauthorized disclosure, delivery or reproduction of the confidential, restricted and classified information shall be made, directly or indirectly, by you at anytime during or after your employment with the Company without the prior written consent of the Company. Furthermore, you agree that all company records, documents and properties in your custody or control shall be immediately surrendered to the Company, if requested, during the employment period, and at the termination thereof, whether or not requested.

Any breach of the foregoing covenants, direct or indirect, shall constitute sufficient grounds for immediate termination of employment. In addition, you shall be held liable for damages occasioned by such breach of confidentiality without prejudice to other relief, penal or otherwise, available to the Company in accordance with law.

It is recognized and agreed that the Company shall have full and exclusive direction and control of the management of its business and operations, including but not limited to the right to plan, assign and transfer employees from one position to another, from one department to another; to promote, demote and discipline employees; the right to introduce changes in methods, operating practices, facilities and equipment and enforce Company rules and regulations. In relation to this, you agree during the entire period of your employment to be assigned to any work, project, function and work site for such periods as may be determined by the Company and whenever the operations thereof require such assignment.

The Company shall be entitled to the sole benefit and exclusive ownership of any inventions or improvements in the process, machinery or other things used that may be made or discovered by you while you are in the service of the Company, and all patents or copyright for the same. You shall do all acts necessary or required by the Company to give effect to this provision. It is expressly agreed and understood that there are no verbal agreements or understandings, between you and the Company or any of its agents and representatives, affecting this Agreement and that no alterations or variations of the terms hereof shall be binding upon either party to this Agreement unless the same are reduced in writing and signed by you and the Company.
