AGREEMENT

This Agreement is made on

BETWEEN:

M/S, VEDIC FACILITY INDIA PRIVATE LIMITED having its office at No


311, 3rd floor, Charm Ganesh Nilayam, Vittal Rao Nagar, Hitech city-
Hyderabad- 500033 referred as “CONTRACTOR.”

AND

M/s. __________________________________. having its office at


_____________________ and referred as “CLIENT”

VEDIC FACILITY INDIA PRIVATE LIMITED carries on the business of


providing suitable Housekeeping Services has the necessary manpower,
resources and expertise to provide such services; and
SCOPE OF AGREEMENT

VEDIC FACILITY INDIA PRIVATE LIMITED shall provide to the


suitable candidate for housekeeping services at the Company’s

premises located at, “________________________________________”

VEDIC FAICLITY INDIA PRIVATE LIMITED shall deploy at the


said Premises, trained and experienced personnel to provide the

Services. Any changes in such personnel or Services detailed in the


said Annexure - A will be made only with the mutual consent of the
parties and all such changes shall be set out in writing and duly
signed off by both the parties.

VEDIC FACILITY INDIA PRIVATE LIMITED agrees that if and when


so requested by the ________________________, it will provide any

additional manpower and/or Services at the said Premises as


mentioned “________________________ “ and the s may be required by
Company, at such rates as may be mutually agreed between the
parties.

VEDIC FACILITY INDIA PRIVATE LIMITED shall ensure that the


personnel deployed at the said Premises have proper uniforms, and

are trained, experienced and are of good character and that they
regularly, faithfully and efficiently render the Services.

VEDIC FACILITY INDIA PRIVATE LIMITED shall be responsible to


properly maintain all property and equipment of the Company

entrusted to it for its use or that of its personnel or under their


control, reasonable wear and tear being excepted.

VEDIC FACILITY INDIA PRIVATE LIMITED assumes full and sole


responsibility for the payment of salaries to all its personnel.

SCOPE OF CLIENT

The CLIENT will pay separately for any additional personnel or


services provided by VEDIC FACILITY INDIA PRIVATE at its request,

as provided for in this Agreement.


The CLIENT confirms that all its property including the materials,
building and furniture owned by the CLIENT are fully insured to

cover against any damage or loss. VEDIC FACILITY INDIA PRIVATE


LIMITED will not be liable for any damage to such property resulting
from natural calamities or any causes or reasons not attributable to
the willful acts of VEDIC FAICLITY INDIA PRIVATE LIMITED or its
personnel.

The CLIENT shall, for the purpose of enabling VEDIC FAICLITY


INDIA PRIVATE LIMITED to effectively provide the Services, permit

VEDIC FAICLITY and the personnel deployed by it to enter the said


Premises, subject to VEDIC FACILITY complying with the rules,
regulations security procedures and policy of the Company in vogue
from time to time.

The following shall also be provided to VEDIC FAICLITY INDIA


PRIVATE LIMITED by the CLIENT

o Washroom facilities for on duty personnel; and


o Safe and secure storage area for material, machinery and
equipment.
o Tea/ Coffee / water for the deployed staff to be provided by
client at free of cost.

CONTRACT PERIOD

This Agreement shall be deemed to have commenced as on and from


_______________________ and shall be for an initial period of Twelve (12)

months from the said date. Thereafter, the parties may extend the
Agreement on terms to be mutually agreed upon.

TERMINATION PERIOD

Either party may, without cause, terminate this Agreement by giving


to the other 30 (Thirty) days prior written notice.

PAYMENT TERMS PERIOD

Payment for the Service invoice should be made monthly by way of


Cheque in favour of VEDIC FAICLITY INDIA PRIVATE LIMITED. Once

we receive the cheque and the same has been cleared the salary will
be paid to all the staff.
FORCE MAJEURE PERIOD
 During force majeure (i.e.) floods, riots, earthquake, strike etc., the
contractor shall provide maximum possible service. Contract terms
shall continue to prevail during the period of Force Majeure if it is 15
days or less. If it should continue beyond 15 days service shall be
provided on specific tasks mutually agreeable terms and conditions,
including demobilization cost.
