Q: What is changing as it relates to VMware Cloud Foundation and VMware Cloud Suite cloud connected and disconnected subscription
offerings?

A: The VMware Cloud Foundation and vCloud Suite connected and disconnected subscription offerings along with the vSAN+ add-on for Cloud
Suite connected subscription offerings have reached VMware End of Availability (EOA) and are no longer available to purchase from VMware
starting August 5, 2023. Existing customers can continue using the products until the end of the term they have purchased. During this time,
they will continue to receive support.

Q: Why is VMware making this change to VCF and VMware Cloud Suite?

A: VMware is going through a transformation of their products to streamline and simplify their portfolio. One of the aspects of this transformation
is to minimize the number of SKUs being offered to remove confusion and overlap caused by numerous editions within the portfolio and offer a
core set of products through the VMware Cloud Editions.

Q: Are VMware Cloud Foundation, VMware vCloud Suite, and vSAN perpetual licenses a part of this End of Availability?

A: No. Perpetual licenses are not part of this End of Availability.

Q: How does this impact any existing VCF on VxRail customers who are using VCF+/-S with VxRail?

A: On April 4, 2023, VMware announced the availability of VMware Cloud Editions. Existing customers with the SKUs that are going End of
Availability (EOA) can upgrade to these new VMware Cloud Editions which are available in connected or on-premises cloud disconnected
versions. Account teams and customers can work with VMware to determine appropriate upgrade options.

A: The VMware Cloud Editions are subscription bundles of VMware’s SDDC portfolio of products. These bundles are designed to simplify the
product portfolio. The VMware Cloud Editions are offered as either cloud connected or on-premises cloud disconnected subscriptions.

Q: Has anything changed in the relationship between VxRail and VMware?

A: No. Dell and VMware have common interest in ensuring VxRail maintains its position as the industry leading HCI platform. Dell and VMware
continue to collaborate in a solid joint engineering and go to market partnership. This includes collaboration on transition to subscription
licensing and ensuring a consistent VxRail HCI System Software operations experience when using VMware subscriptions-based features.

Q: What are VMware vSphere+, vSAN+, and VCF Cloud Editions cloud connected subscriptions licensing?

A: In 2022, VMware announced the availability of cloud connected subscription license offerings: VMware vSphere+, VMware vSAN+™ and
VMware Cloud Foundation+. These cloud connected subscription licenses enable usage, monitoring, and upgrades through the SaaS
VMware Cloud Console (VMC Console).

VMware also released a set of on-premises term subscription license offerings called vSphere-S, vSAN-S, and VMware Cloud Foundation-S.

In April 2023, VMware announced the availability of cloud connected and on-premises cloud disconnected VMware Cloud Edition subscription
bundle offerings. In August 2023, VMware also discontinued the VCF+/VCF-S product SKU offerings and replaced them with the VCF-based
Cloud Edition bundles..

Together, Dell and VMware, building on our solid partnership, are jointly rolling out a phased plan for customers to utilize subscription-based
cloud connected licenses as well as on-premises cloud disconnected subscription based licenses with VxRail and VCF on VxRail. These
include VMware Cloud Editions.

Q: Has VMware enabled any OEM to sell the VMware cloud connected, on-premises cloud disconnected VMware subscription offers,
including VMware Cloud Edition bundles?

A: VMware has not yet enabled any OEM partner to sell VMware cloud connected subscription offers as an eOEM/OEM offering. Currently, these
subscription licenses, including VMware Cloud Editions, can only be transacted through a bring your own license (BYOL) using standard
VMware direct or Dell resale paths. VMware is making these available to OEM’s and Dell is working with VMware on plans to bring these to
market through Dell selling tools in the future (please refer to the VxRail roadmap for the latest details).

Q: Does Dell VxRail support VMware subscription offerings?

A: Dell has an active internal program focused on transitioning VxRail and VCF on VxRail from perpetual licensing to new VMware subscription
offerings. The rollout of subscription licensing support, including VMware Cloud Editions, and its availability will be through a phased program,
with BYOL options available now and eOEM offerings planned in the future.

VMware and Dell are collaborating to include the addition of subscription options as part of the VxRail commerce, product, and support
experience to align with the new subscription models, including VMware Cloud Editions. Our collective goals are to deliver:

• A seamless product operations experience

VMware has not announced any EOL date for VMware software perpetual license options at this time.

Q: How will Dell support VxRail customers that choose to move to VMware subscription-based licensing?

A: Customers can expect:

• Dell to maintain the available first-call support experience that VxRail customers are already familiar with when using VMware cloud
connected and on-premises cloud disconnected subscription offerings with VxRail and VCF on VxRail.

• Dell to continue ensuring product compatibility and interoperability when using VxRail with VMware cloud connected services. Dell has
qualified specific VxRail and VCF on VxRail deployment configurations that are supported with individual cloud connected offerings as
well as VMware Cloud Edition cloud connected subscription offerings. For the latest supported guidance, please refer to these Dell KB
Article.

Q: Will there be any changes to Dell sales compensation with the new VMware subscription licenses?

A: No changes to the existing Dell seller compensation model are planned at this time. For more information on VMware changes to their seller

Q: What are the supported procurement Routes to Market (RTM) options for transacting VMware software, including the newest
subscriptions and existing perpetual licenses, for VxRail and VCF on VxRail?

A: Please refer to the VxRail Ordering and Licensing Guide detailing the supported options available today.

Q: Can I use VMware cloud connected and on-premises cloud disconnected subscription licensing options with Dell APEX Private and
Hybrid Cloud offerings?

A: Yes. Dell APEX Private and Hybrid Cloud offerings customers would use the same VMware software ELA exception procurement process and
support guidelines for VxRail systems purchased outside of APEX. These include the new VMware Cloud Edition bundles as well.

Q: Can I buy standalone VMware product subscription offerings, or must I purchase them via a VMware Cloud Edition bundles only?

A: Standalone VMware product subscription offerings are available with the exception of VCF. VCF+/VCF-S standalone offerings have been
EOL’d by VMware and have been replaced with VMware Cloud Advanced and Enterprise Edition offerings only. Both standalone product
subscriptions and VMware Cloud Edition bundles are available to use with VxRail and can be purchased using the Routes to Market options
described in this FAQ.

Q: Can vSphere+/vSAN+ licenses be mixed within a cluster with perpetual licenses of the same type (i.e., vSphere+ with vSphere perpetual
or vSphere-S disconnected subscriptions)?

Q: Can existing VxRail and VCF on VxRail customers upgrade from vSphere/vSAN/VCF perpetual to vSphere/vSAN/VCF cloud connected
subscription licensing?

A: For existing customers who had procured their perpetual vSphere/vSAN/VCF SW licenses through a VMware ELA, the answer is yes. At the
end of the VMware owned SnS term, they can use the VMware Subscription Upgrade Program (SUP) to exchange VMware perpetual licenses
for subscription licenses.

For existing customers who had procured their VMware SW licenses via Dell eOEM the answer is no. There is currently no process to
upgrade eOEM perpetual licensed VxRail/VCF on VxRail clusters to VMware subscription licenses today.

GENERAL - VMWARE SUBSCRIPTION LICENSING OVERVIEW


Q: Is vSphere+ a new edition of vSphere?

A: vSphere+ is a subscription-based offering that consists of both on-premises and cloud components that interact with each other. The on-
premises components include cloud gateways, vCenter instances and ESXi hosts. The cloud components include various cloud services for
admins (or IT operations) and developers (or DevOps) that augment and enhance on-premises capabilities, all accessible within the VMware
Cloud Console. Cloud gateways connect your vCenter instances to the VMware Cloud Console, where you can centrally manage on-premises
infrastructure and access cloud services.

Q: Is vSphere+ a VMware SaaS offering?

A: vSphere+ includes VMware cloud services that are delivered as SaaS services. Your vCenter instances and ESXi hosts remain on-premises.

Q: What is vSAN+?

A: vSAN+ is the premier HCI offering, delivering the cloud connected services for IT to centralize management and enhance efficiency. vSAN+ is
offered as a subscription.

• Simplify vCenter updates with service lifecycle management support (vSphere+ required). Update/patch/upgrade all on-premises
vCenter instances through a single control plane.

• Enhance IT productivity through single-console visibility of multiple vCenter servers (vSphere+ required).

• Build, run, manage, and secure workloads with rapidly deployable cloud services, all connected to your on-premises infrastructure.

Q: What editions of vSphere+, vSAN+, and VCF+ are available?

A: Below are the available vSphere+ and vSAN+ editions currently available.

• vSphere+ STD, vSphere+ (based on vSphere Enterprise Plus)

o Note: vSphere+ (based on vSphere Enterprise Plus) is the only version used in VMware Cloud Edition bundles

• vSAN+ STD, vSAN+ ADV, vSAN+ (based on vSAN Enterprise)

Q: What are VMware vSphere-S, vSAN-S, VCF-S?

A: These are on-premises cloud disconnected term subscription product offerings that are available as standalone vSphere-S or vSAN-S
offerings or consumed as part of a disconnected VMware Cloud Edition bundle using physical core metrics and term subscription license keys.
As a result, these on-premises cloud disconnected on-premises term based subscription licenses are used without the cloud connected
VMware Cloud services. These licenses are intended to be sold to customers who do not want to connect their on-premises infrastructure to
VMware cloud because of high security requirements, because they require that the products be run at a dark site, or they prefer to maintain
their current operational model of using on-premises tooling only to manage their infrastructure.

• vSphere-S includes the Tanzu TKG Runtime and is specifically designed for customer-managed on-premises cloud instances.

• VMware on-premises cloud disconnected subscriptions use on-premises license key management.

• vSphere-S, vSAN-S, and VCF-S licenses are available in different tiers (i.e. ADV, STD, ENT, etc.)

 Note: VCF-S is only available via on-premises cloud disconnected VMware Cloud ADV or ENT Edition bundles

• vCenter Server STD is also included with all on-premises cloud disconnected subscriptions

Q: What are the different VCF subscription offerings and how do they differ from each other?

A: Below are the different types of subscription options available for VCF.

VMware Cloud Foundation-Subscription (VCF-S) (On-premises cloud disconnected VMware Cloud ADV/ENT Editions)

• VMware Cloud Foundation Subscription (VCF-S) is a on-premises cloud disconnected on-premises term subscription offering with
VCF 4.x and higher using physical core metrics and term subscription license keys.

• It is available in on-premises cloud disconnected VMware Cloud Advanced and Enterprise Edition bundles only which also includes
vSphere-S and vSAN-S

VMware Cloud Foundation+ (VCF+) (Cloud Connected VMware Cloud ADV/ENT Editions)

• VCF+ is a cloud connected consumption offering available with VCF 4.5 and higher using cores metrics and new cloud services.
While all components of VCF and workloads remain on-premises, VCF+ must be connected through Cloud Gateway to VMware
Cloud. Additional SaaS services will be provided from VMware Cloud.

• VCF+ components are cloud entitled, metered, and billed. There are no license keys in VCF+. Once customer is onboarded to
VCF+, the components are entitled from the cloud and periodically metered and billed

• It is available in cloud connected VMware Cloud Advanced and Enterprise Edition bundles only which also includes vSphere+ and
vSAN+
