ENCUMBRANCES AND THIRD-PARTY INTEREST”.

Through friendly negotiation, in accordance with relevant laws, regulations and policies, on the basis of
equality and mutual benefit, good faith and common development, both Parties reach the following terms:

1. Party A has 3 t r i l l i o n E U R O (€3,000,000,000,000.00) ( M0 ) (with possible rolls and extensions) which


is clean, clear, and freely movable and use, and is willing to invest it to Party B for the use of cooperation
projects.

2. After the verification by the bank officials of both parties, Party B shall first pay the funds stipulated in this
agreement to Party A for settlement.
Party A shall, within three (3) working days upon the effective date of this Agreement, remit the
investment funds to the receiving account designated by Party B. After Receipt, Authentication and
Verification from Receiver, the transaction shall be completed.
Party A shall share the profit of the investment project according to the proportion of its investment amount
in the total investment amount.
Party B shall be responsible for the handling of the relevant certificates and licenses of the investment
project, the execution and management of the specific affairs of the investment project, and shall have the
right to distribute profits ，but shall not bear any losses.
