RECORDLABELPRODUCERCONTRACT

This shall serve as the sole agreement between _________________ (hereinafter referred to as
"Producer")forservicesinproducingMasterRecordings,(hereinafterreferredtoas"Masters")forandof
the Record Label, professionally known as _________________ (hereinafter referred to as "Record
Label").
1. The term of this agreement shall commence as of the date hereof and shall continue until the
completionofProducer'sservices.
2.(a)RecordingsessionsfortheMastersshallbeconductedbyProducerunderthisAgreementatsuch

Label shall have the right and opportunity to have Record Label representatives attend each such

compositiondesignatedbytheRecordLabel,andshallbesubjecttoProducersapprovalastechnically
satisfactoryforthemanufacture,broadcastandsaleofphonorecords,and,uponRecordLabelrequest,
ProducershallrerecordanymusicalcompositionorotherselectionuntilaMastertechnicallysatisfactory
toRecordLabelshallhavebeenobtained,providedadditionalproductioncostswillbepaidbyRecord

(b) Producer shall deliver to Record Label a twotrack stereo tape suitable for duplication and
[Link],roughmixesandanyderivatives
orreproductionsthereofshallalsobedeliveredtoRecordLabel,or,atRecordLabelelection,maintained
atarecordingstudioorotherlocationdesignatedbyRecordLabel,inRecordLabelsnameandsubjectto
RecordLabel'scontrol.
3. All vocal Masters produced hereunder, from the inception of the recording thereof, and all
phonorecordsandotherreproductionsmadetherefrom,togetherwiththeperformancesembodiedtherein
andallcopyrightsthereinandthereto,andallrenewalsandextensionsthereof,shallbeentirelyRecord

Producer.
4.(a)ConditioneduponProducer'sfullandfaithfulperformanceofallthetermsandprovisionshereof,
RecordLabelshallpayProducer,asanadvancehereunder,thesumof$________________DOLLARS
payableuponcommencementofrecording,andthebalanceuponthedeliverytoyouoftheMasters.
(b)Notwithstandinganythingcontainedin(a)abovetothecontrary:
(ii)IntheeventtheMastersarereleasedonthe______________label,subsidiaryoraffiliatelabel,or
soldindependently,Producershallbepaidinrespecttothesaleofsuchphonorecordsaroyaltyrateof
threepercent(%)ofthesuggestedretailpriceofeachphonorecordsoldandpaidforintheUnitedStates

alsobepresentingtheMasterstomajorlabelsandthatProducerwillnotbeRecordLabelexclusive
[Link],ProduceragreestonotifyRecordLabelpriortomakinganyformalcontact
with representatives of any major record company on Record Labels behalf in order to coordinate
respectiveeffortsandagreestocontactonRecordLabelsbehalfonlythosecompaniesmutuallyagreed

agreementwithamajorlabelfortheMastersrecordedhereunderandthefurtherservicesofRecordLabel
asaresultofsubstantialeffortsandnegotiationsbyProducerwithsuchcompanywithintheperiodof
ONEYEARfollowingthecompletionoftheMastersRecordLabelagreestopayProduceracommission
ofsixpercent(%)oftheactualcashadvances(exclusiveofrecordingbudgets)receivedbyProducer

corporationwithgrosssalesofonemillion(1,000,000)unitsinthecurrentcalendaryear.
[Link],represents,andagreesthatheisundernodisability,restriction,orother
incumbencywithrespecttohisrighttoexecuteandperformtheservicesdescribedinthisAgreement.
7. Record Label shall have the right, at Record Labels election, to designate other producers for
recordingsessionswiththeRecordLabel,inwhicheventProducershallhavenorightshereunderwith
respecttotheMastersproducedatsuchotherrecordingsessions.

hereunder,inwholeorpart,toanysubsidiary,affiliated,orrelatedcompany,ortoanyperson,firmor
corporationacquiringrightsintheMastersproducedhereunder.
9.(a)Thiscontractsetsforththeentireunderstandingofthepartiesheretorelatingtothesubjectmatter

bothparties.
(b)RecordLabelshallnotbedeemedtobeinbreachofanyofRecordLabelsobligationshereunder
unlessanduntilyouhavegivenRecordLabelspecificwrittennoticeofthenatureofsuchbreachand
RecordLabelhavefailedtocuresuchbreachwithinthirty(30)daysafterRecordLabelsreceiptofsuch
notice.
(c)NothinghereincontainedshallconstituteapartnershiporjointventurebetweenRecordLabeland
Producer.
(d) This contract has been entered into inthe State of ____________, and its validity, construction,
interpretation,andlegaleffectshallbegovernedbythelawsoftheStateof_____________.
(e)ThiscontractshallnotbecomebindingandeffectiveuntilsignedbyRecordLabelandProducer.
