End User License Agreement

Be sure to review this End User License Agreement (“EULA”) before you purchase a license key for GuideGuide or use the GuideGuide trial. By purchasing a license key and using GuideGuide, you are agreeing to be bound to this EULA. If you do not agree with this EULA, sigh deeply and do not buy or use GuideGuide.

If you accept the terms and conditions in this EULA on behalf of a company or other legal entity, you agree that you have full legal authority to do so on behalf of that company.

You may not accept this EULA if you are not old enough to form a binding contract with GuideGuide in your country (sorry).

Definitions

Excluding the previous paragraphs, within this document, the following terms are linked back to this list of definitions for easier clarification.

GuideGuide

GuideGuide, LLC, a company by me, Cameron McEfee

Software

Any installers, files, updates, and upgrades licensed to you by GuideGuide.

Update

A new version of the software which provides improvements or additional features at no additional cost.

Upgrade

A new version of the software, or an addition to the software which is provided for an additional cost.

Contract Period

The duration during which you may use the software based on what you have paid for it.

License Key

A unique code provided by GuideGuide at the time of your purchase which enables you to activate the software by entering the code into the software. License keys remain active for the duration of your contract period.

Trial Version

The license for the software for the agreed upon trial duration stated when you activate the trial, for the purpose of testing the software.

Full Version

The license for the software for the duration of the contract period in which you may use all of the software’s features.

Activate

Turning the trial version of the software into the full version.

Volume License

A license which grants access to the software for multiple people using a single license key.

Device

A device upon which the software is used.

Host Application

An application into which the software can be installed.

General

This EULA applies to any licenses you purchase from GuideGuide and trial versions or full versions of the software. By purchasing a key or using the software, you agree to this… agreement.

I may modify this agreement in the future. In the event this happens, you will be notified within the software and on this website. For more up-to-date notification, you may also add https://guideguide.me/policies/feed.xml to your feed reader of choice.

License

GuideGuide grants you a non-exclusive, non-transferable, limited, revocable license to use the software within the terms of this EULA. GuideGuide reserves all rights not specifically granted to you in this agreement.

GuideGuide is and remains the owner of any intellectual property rights related to the software. You do not own the software as a result of your purchase of a license key or your use of the software.

When you purchase the software, you will be given a choice of contract period and number of license keys to purchase. You may use the software and its features for the duration of the contract period and for as long as you renew your contract.

Cancellation, Contract Period Changes, Refunds

You can cancel the automatic renewal of your license keys at any time via the account management page.

You may change the contract period for your license keys at any time by contacting customer support. Any changes will take effect at the start of the next contract period.

You may request a refund within two business days of a charge to your payment method, or beyond that at my discression. I tend to be generous unless you’re rude.

If you request a refund due to an error or unexpected behavior with the software, I will make one attempt to convince you to troubleshoot the issue first, to ensure future people do not also have similar problems. You may state that you do not wish to troubleshoot to bypass this.

Use and Restrictions

In order to install the software, your computer must have access to the internet. Once activated, you may use the software offline.

Each license key may be used by one person, unless you have purchased a volume license that allows use by multiple people. Each license key may be used on unlimited devices by the person to which it was licensed. If your key is found to be used by multiple people, your license key may be suspended.

In the process of using the software, you may not:

  • Use more than one trial version on any device where you have previously used a trial version in the same host application
  • Rent, lease, lend, sell, redistribute, sublicense, or otherwise comercially exploit your license key
  • Use the software to break any laws or faciliate others in breaking laws
  • Delete or modify any disclaimers, warnings, copyright, or other proprietary notices associated with the Software
  • Copy (except as is allowed within this EULA), adapt, translate, decompile, reverse engineer, disassemble, attempt to derive the source of, modify, or create derivative works of the software and the license key

I may modify the software at any time at my discretion and without notice to you to provide updates and upgrades.

Maintenance and Support

When new updates are available, you will be notified by the host application where such support exists, and notified from within the software.

Updates are freely available. However, a valid license key is required to use the software.

Any maintance and support I provide, including updates and upgrades, is provided in an adequate way on an “as is” basis without any warranty, as soon as reasonable possible, subject to my availablity.

Use of Data

GuideGuide and my subprocessors may periodically collect and use technical and usage data related to the software you have licensed, including information about the system you have installed the software on.

GuideGuide may also control personal data required for purchasing the software, providing your license, and communicating with you when required or requested.

Disclaimer

Your use of the software is at your own risk. The software is provided on an “as is” and “as available” basis without warranty — whether express or implied — of any kind, and GuideGuide specifically disclaims the warranty of fitness for a particular purpose. No advice given by GuideGuide implies a warranty beyond the warranty listed in this EULA.

Liability Limitaiton

While bugs are uncommon and I use many pratices to assit in avoiding them, the unexpected is always possible. The liability of GuideGuide for any damages arising from unexpected behavior of the software may not exceed the cost of the most recent contract period.

In addition, GuideGuide is not liable for consequential or inderect damages, including loss of profit, business interuption, loss of data, or similar as a result of use or inability to use the software.

The limitations of liability referred to in the disclaimer will not apply in the event that negligence on the part of GuideGuide leads to death or physical injury or, damages arise from willful misconduct or gross negligence of GuideGuide.

Termination

This EULA will continue to be in full force until the expiration of the license key provided to you or the expiration of the trial version.

Your license keys will renew automatically at the end of the contract period. You will be notified at the email address provided when purchasing your license in advance of this renewal.

GuideGuide is entitled to terminate your license key or trial version immediately and without prior notice in the event you fail to comply with the terms of this EULA, in the event that you fail to renew your license key within the acceptable payment term, or in the event that GuideGuide is required to do so by law.

Once your license key or trial version has been terminated, you will stop using the software.

You aknowledge that the terms of this EULA, which are intended to last beyond termination, remain in effect after the termination of this EULA.
