1. Binding Agreement
By downloading and installing a Fontfabric Fonts (Software) or “Font” you agree to be bound by this Fontfabric Non-Commercial EULA For Trial Fonts (EULA, “Agreement”).
2. Grant of License
Fontfabric grants a Licensee worldwide, non-exclusive, and non-transferable license to use the Trial Fontfabric Fonts (Software) for internal testing purposes in trial environment only.
- A Licensee CAN (✓) create images on any surface, such as paper, computer screens, web pages, photographs and visuals, movie credits, printed material, T-shirts and textile, and other surfaces where the image has a fixed size;
- A Licensee CAN (✓) create vector files or other scalable drawings (AI, EPS, PDF etc.), as well as static images (JPEG, TIFF, PNG etc.);
- A Licensee CAN (✓) create Web Apps, Mobile Apps, Windows Apps, Linux Apps, OS X Apps, Android Apps, etc.;
- A Licensee CAN (✓) link the web-fonts to webpages with @font-facein CSS files.v.to create any files for ePub, such as PDF, WP templates, e-books, website templates, mobile apps, etc. for any kind of devices including Kindles, iPads, or other Readers amidst others.
3. Restrictions
- A Licensee CAN NOT (⃠) create products with the Trial Fontfabric Fonts (Software) for commercial use or personal gain. Products created with the trial fonts are for testing and evaluation purposes only.
- A Licensee CAN NOT (⃠) embed the fonts in any products or web pages that are accessible publicly or by any third party without prior written consent from Fontfanbric.
- A Licensee CAN NOT (⃠) embed Trial Fontfabric Fonts (Software) into documents or into web pages with a @font-face declaration for uses different than trial purposes.
- A Licensee CAN NOT (⃠) upload Trial Fontfabric Fonts (Software) in third parties websites or allow third parties to create new documents or designs with embedded trial fonts.
- A Licensee CAN NOT (⃠) any Trial Fontfabric Fonts (Software) to producers, publishers, or other agents working on Licensee behalf.
4. Modifications and derivative works
- A Licensee CAN (✓) import characters from the font as graphical objects into a drawing program (Adobe Illustrator, Adobe Photoshop, Corel Draw, etc.) and modify such graphical objects.
- A Licensee CAN NOT (⃠) modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works of the free font software without Fontfabric’s prior written consent. That means you may not edit or modify the font files themselves in font editors/software/programs likeFontLabStudio, Fontographer, Font Creator, TypeTool, BitFonter, Glyphs, FontStruct, RoboFont, etc.
If a Licensee is located in a European Union member country or any other country which provides rights materially similar to the rights set forth in this provision:
- A Licensee CAN (✓) reverse engineer or decompile Trial Fontfabric Fonts (Software) only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by Fontfabric upon written request)
- A Licensee CAN (✓) reverse engineer or decompile the trial fonts only to the extent that sufficient information is not available for the purpose of creating an interoperable software program (but only for such purpose and only to the extent that sufficient information is not provided in a timely manner free of charge by Fontfabric upon written request).
5. Intellectual Property Rights
Fontfabric is the exclusive owner of all intellectual property rights, including rights under copyright and trademark law. Should you fail to abide by the terms of this Fontfabric Non-Commercial EULA For Trial Fonts, you may be held legally responsible for any infringement of Fontfabric intellectual property and rights.
When using and embedding the Trial Fontfabric Fonts (Software) you must preserve the public metadata containing information about Fontfabric intellectual property and rights and any other data identifying the creators of Trial Fontfabric Fonts (Software).
6. Resale Prohibited
A Licensee CAN NOT (⃠) resell or redistribute the Trial Fontfabric Fonts (Software), or any derivative works based on the Trial Fontfabric Fonts (Software) themselves, to third parties without prior written consent by Fontfabric.
If you resell or redistribute copies of the trial fonts without explicit consent by Fontfabric, you will be subject to a penalty up to twice for each free font resold or redistributed in breach of this Fontfabric Non-Commercial EULA For Trial Fonts plus any legal costs involved
7. Termination
This EULA is effective until terminated. The Fontfabric Non-Commercial EULA For Trial Fonts may be terminated by you at any time by removing any Fontfabric Fonts (Software) installed, and destroying any printed materials and copies.
If you fail to comply with any of the terms of this Fontfabric Non-Commercial EULA For Trial Fonts, Fontfabric may terminate the EULA with thirty (30) days written notice. If you fail to cure the breach and comply with the EULA within this time period, the Fontfabric Non-Commercial EULA For Trial Fonts will terminate automatically.
Upon termination, a Licensee must:
- Destroy all copies and modifications of the Fontfabric Fonts (Software), if any.
- Destroy all written materials provided with Fontfabric Fonts (Software), if any.
- Provide Fontfabric with written verification that the product has been destroyed.
8. Limited warranty and liability
There are no warranties and conditions, express or implied, made by Fontfabric with respect to the Fontfabric Non-Commercial EULA For Trial Fonts.
Trial Fontfabric Fonts (Software) and related documentation are provided “as is”. The entire risk as to the quality and performance of the Product rests upon you.
Fontfabric makes no representations or warranties as to the non-infringement of third-party rights, merchantability, or fitness for any particular purpose.
Fontfabric shall not be liable for any direct, indirect, consequential, or incidental damages, including damages from loss of business profits, business interruption, loss of business information, and the like, arising out of the use of or inability to use Trial Fontfabric Fonts (Software), even if Fontfabric has been advised of the possibility of such damages. Some states or jurisdictions do not allow the exclusions of limitations of incidental, consequential, or special damages, so the above limitation may not apply to you.
9. Governing Law
This EULA is governed by the laws of the United Kingdom. The courts of London, UK, shall have exclusive jurisdiction to hear and determine any claims, disputes, actions, or suits, which may arise under or out of this Agreement.
10. Waiver
No waiver of any provision of this Fontfabric Non-Commercial EULA For Trial Fonts shall constitute a continuing waiver of such provision or a waiver of any other provision of this Fontfabric Non-Commercial EULA For Trial Fonts.
11. Severability
If any provision of this Agreement is declared by a court of competent jurisdiction to be invalid, void, or unenforceable, the remaining provisions of this Agreement shall continue in full force and effect.
12.Entire Agreement
This EULA, in conjunction with the Invoice that accompanies each licensed Fontfabric Fonts (Software), constitutes the entire agreement between you, as the Licensee, and Fontfabric.
