Aktiengesellschaft (German pronunciation:[ˈʔakt͡si̯ənɡəˌzɛlʃaft]; abbreviated AG pronounced[ʔaːˈgeː]) is a German word for a corporation limited by share ownership (i.e. is owned by its shareholders) and may be traded on a stock market. The term is used in Germany, Austria, Switzerland, South Tyrol and for companies incorporated in the German-speaking region of Belgium. It is also used in Luxembourg, though the French-language equivalent, Société Anonyme, is more common.
Meaning of the word
The German word Aktiengesellschaft is a compound noun made up of two elements: Aktien meaning shares, and Gesellschaft in this context meaning corporation. An approximate English transliteration can therefore be dictated as "sharecorporation". In German the use of the term Aktie for share is restricted to Aktiengesellschaften. Shares in other types of German companies are called Anteile rather than Aktien.
Legal basis
In Germany and Austria, the legal basis of the AG is the German Aktiengesetz (abbr. AktG) or the Austrian Aktiengesetz (abbr. AktG). The German commercial law (§ 19 Handelsgesetzbuch) requires all corporations to specify their legal form in their name which tells the public their limitation of liability, all German (required by § 4 Aktiengesetz) and Austrian stock corporations include Aktiengesellschaft or AG as part of their name, frequently as a suffix.
The Corporation Act of 1661 is an Act of the Parliament of England (13 Cha. II. St. 2 c. 1). It belongs to the general category of test acts, designed for the express purpose of restricting public offices in England to members of the Church of England.
Though commonly spoken of as one of the "Penal Laws", and enumerated by Butler in his Historical Account of the Laws against the Roman Catholics of England, it was not directly aimed against them, but against the Presbyterians. It was passed in December 1661, the year after the Restoration, by Charles II. The Cavalier Parliament aimed at restoring England to its state before the time of the Commonwealth. It required all the prudence of the Earl of Clarendon, the chancellor, to restrain them. The Corporation Act represents the limit to which he was prepared to go in endeavouring to restrict the power of the Presbyterians. They were influentially represented in the government of cities and boroughs throughout the country, and this act was designed to dispossess them.
A joint-stock company is a business entity where different stocks can be bought and owned by shareholders. Each shareholder owns company stock in proportion, evidenced by his or her shares (certificates of ownership). This allows for the unequal ownership of a business with some shareholders owning a bigger proportion of a company than others do. Shareholders are able to transfer their shares to others without any effects to the continued existence of the company.
In modern day corporate law, the existence of a joint-stock company is often synonymous with incorporation (i.e. possession of legal personality separate from shareholders) and limited liability (meaning that the shareholders are only liable for the company's debts to the value of the money they invested in the company). And as a consequence joint-stock companies are commonly known as corporations or limited companies.
Some jurisdictions still provide the possibility of registering joint-stock companies without limited liability. In the United Kingdom and other countries which have adopted their model of company law, these are known as unlimited companies. In the United States, they are known simply as "joint-stock companies".
